  • Advising a leading multinational on various options for the divestment of its interest in an indigenous oil company.

  • Advising an oil and gas company on the acquisition of three oil blocs in Chad and the divestment of a portion of its participating interest to a Canadian company
  • Review of a draft of the mining regulations being proposed for implementation by the Minister of the Ministry of Mining and Solid Mineral Development.
  • Preparation of a health and safety matrix for a major oil and gas company
  • Advising a client on the PPP vehicle and the development of the buss mass transit legal and regulatory regime for the FCT.
  • Advising on the acquisition of controlling interests on a number of mining exploration projects; advised on proposed project structures; reviewed the JVAs and supporting documentation.
  • Advising a foreign borrower on its investment in a Nigerian SPV engaging in real estate development.
  • Review and advising a client on several natural and liquid gas sales and purchase agreement.
  • Advising an international private equity company in its acquisition of a switching company, which included; conducting due diligence exercise on the target.
  • Assisting in conducting legal due diligence on a Nigerian company and its affiliates in relation to the integration of their business with that of the purchaser’s East African operations.
  • Advising a Buoy Mooring company on the implications of the Nigerian Content and Development Act (Local Content Act) on its operations in Nigeria.
  • Advising a telecommunications company in the facilitation of its mobile initiated communication services to a financial institution.
  • Advising a telecommunications company of the supply of its localisation based telecommunication products and services to a state government..
  • Advising a foreign borrower on obtaining a three-tier US $12, 000,00 facility from a Nigerian bank for the financing of power related projects in Nigeria; Including the review of all security documents( guarantee, mortgage, charges)
  • Advising a foreign borrower on a commodity financing structure; including the review of all security documents (pledge, stock inspection agreement, warehouse agreement).
